Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, APIs and monetization services (collectively, the "Services") provided by PubMonetX Ai ("PubMonetX", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

1. The Services

PubMonetX provides advertising monetization technology and services for digital publishers, including AI-based price floor optimization, yield analytics and reporting, managed header bidding, ad serving integrations with Google Ad Manager and Google Ad Exchange, ad layout optimization and related services. Specific commercial terms, including revenue shares and payment terms, are set out in an applicable insertion order or partner agreement ("Order") between you and PubMonetX.

2. Eligibility and Account

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, complete registration information and keep it updated.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• We may suspend or terminate accounts that violate these Terms or applicable advertising policies.

3. Publisher Obligations

• You must own or control the websites and applications you submit to the Services and have all rights necessary to monetize them.
• You must comply with all applicable laws and with the policies of demand partners we connect you to, including the Google Publisher Policies, Google Ad Manager Partner Guidelines and IAB standards.
• You must not engage in invalid traffic practices, including bots, click farms, incentivized clicks, auto-refresh abuse, domain spoofing or misrepresentation of inventory.
• You must maintain a privacy policy and obtain all legally required user consents (including under GDPR, ePrivacy and CCPA/CPRA) for advertising and data processing on your properties.

4. Payments

Unless otherwise stated in an Order, payments are made on a net-30 basis after the end of the calendar month in which revenue was earned, subject to a minimum payout threshold and receipt of corresponding funds from demand partners. We may withhold or offset amounts attributable to invalid traffic, advertiser clawbacks, chargebacks or policy violations. You are responsible for any taxes on amounts paid to you.

5. Intellectual Property

The Services, including all software, models, algorithms, dashboards, documentation and trademarks, are owned by PubMonetX or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services for monetizing your approved properties during the term of your agreement. You retain all rights to your content and your data; you grant us a license to process it solely to provide and improve the Services.

6. Confidentiality

Each party agrees to protect the other's non-public information (including revenue data, commercial terms and technical information) with at least reasonable care and to use it only for purposes of the business relationship.

7. Disclaimers

The Services are provided "as is" and "as available." We do not guarantee any specific revenue outcome, CPM, fill rate or uplift. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special or punitive damages, or lost profits or revenues. Each party's aggregate liability arising out of these Terms will not exceed the amounts paid or payable by PubMonetX to you in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, willful misconduct or amounts properly payable under an Order.

9. Termination

Either party may terminate with thirty (30) days' written notice unless an Order states otherwise. We may suspend or terminate immediately for material breach, policy violations, invalid traffic or legal requirements. Upon termination we will pay validly earned, collected amounts in accordance with Section 4.

10. Changes

We may update these Terms from time to time. Material changes will be notified via the dashboard or email. Continued use of the Services after changes take effect constitutes acceptance.

11. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction specified in your Order (or, if none, the jurisdiction in which PubMonetX is incorporated), without regard to conflict of law rules. Disputes will be resolved in the courts of that jurisdiction.
